Terms and conditions of sale

This is a courtesy translation. The French version is the only legally binding text.

1. Purpose and definitions

Auditoo is software that assists with the production of real-estate diagnostics, using AI and image and voice recognition to structure and analyse data collected in the field. The software tracks legal changes in real time, in particular:

• The 3CL method for energy performance assessments (DPE)
• The regulations in force for the Descriptive and Lead diagnostics

How it works: the AI assists the assessor without replacing them. The data generated complies with regulatory data, subject to validation by the user.

These terms are reserved for certified professionals (B2B) and apply to any subscription to the Auditoo services.

2. Plans and pricing

Available plans:

• Starter: core features, detailed in the customer quote.
• Premium: advanced features + priority support, detailed in the customer quote.

Terms:

• Subscription online or by quote, after acceptance of these terms.
• Monthly payment by card or bank transfer, payment term: 7 days. All prices are inclusive of tax.
• In the event of non-payment when due, Auditoo reserves the right to suspend access to the service after a formal notice left without effect for 5 days.

3. Term, renewal and termination

• Notice: 2 weeks before the renewal date, by email to support@auditoo.eco.
• Renewal: automatic, on the subscription anniversary date.

Effects of termination:

• Access maintained until the end of the paid period.
• Data export available on request to support@auditoo.eco.

4. Obligations and responsibilities

4.1 Auditoo's commitments

• Notification: customers are informed by email of critical updates within 48 hours.
• Availability: Auditoo uses its best efforts to ensure service continuity. Occasional interruptions may occur (maintenance, improvements). Scheduled maintenance is notified by email 24 hours in advance where possible.

4.2 Customer obligations

Data validation: the customer acknowledges that Auditoo is a data-entry aid. They must:

• Check and correct the data before producing any diagnostic.
• Cross-check the results against a physical visit and the official texts.
• Assume legal responsibility for the diagnostics produced.

Compliant use: access is reserved for certified professionals. Modifying the regulatory templates or bypassing the alerts is prohibited.

4.3 Use of audio data

Auditoo collects audio data when the voice description feature is used. It may be used to train and improve the transcription and AI models, subject to the following rules:

• Legal basis: explicit consent (art. 6.1.a GDPR), separate from acceptance of these terms and withdrawable at any time.
• Anonymisation: data is anonymised before any training.
• Purpose: solely the improvement of the Auditoo services.
• Deactivation: deletion or exclusion possible at any time, free of charge and without justification, via support@auditoo.eco.

Note: consent to the use of audio data for AI training is collected via a dedicated toggle when the password is first created, independently of acceptance of these terms.

4.4 Limitation of liability

Auditoo accepts no liability for any error attributable to incorrect data entry or to the customer's lack of knowledge of the regulations. Auditoo's liability is limited to the total amount paid by the customer over the 12 months preceding the triggering event. Auditoo is not liable for indirect damage (loss of revenue, reputational harm, loss of data).

5. Intellectual property and data

• Software: the exclusive property of Auditoo. Personal, non-transferable and non-sublicensable licence.
• Customer data: the customer's property, hosted in the European Union, retained for the applicable legal period (10 years for accounting records, the regulatory period for diagnostics).
• Aggregated and anonymised data: Auditoo may use it to improve its services. Can be disabled on request to support@auditoo.eco.

6. Force majeure and disputes

• Force majeure: a force-majeure event (cyberattack, unforeseeable legislative change, natural disaster, etc.) entitles Auditoo to suspend the service without compensation, for the duration of the event.
• Mediation: in the event of a dispute, amicable resolution first; failing that, mediation via the CMAP (www.cmap.fr).
• Jurisdiction: failing that, the courts of Paris (France) have sole jurisdiction.

7. Miscellaneous

• Subprocessors: hosting and payments entrusted to certified, GDPR-compliant partners. List available on request to support@auditoo.eco.
• Changes to the terms: notified 30 days in advance by email; free termination possible before they take effect.
• Governing law: French law.

Appendix 1 - Procedure in the event of a legislative change

• Regulatory watch: continuous monitoring of official texts (legifrance.gouv.fr, ADEME, etc.).
• Rollout: update within 30 working days of official publication + communication by email.
• Customer obligation: train its teams on the new features (webinars for Premium subscribers).
